LAW3214: COMMERCIAL LAW

Commercial law is a module comprosing of, introdcution to commercial law, company law and insolvency law and is covered in 27 course units/topics.

Introduction to commercial law covers and answers questions like, what is commercial law, what comprises commecial law (scope), what are the sources of commercial law, what comprises commercial activities, commercial intermediaries, and commercial instruments.

Company law covers issues like, company formation (incorporation), separate legal personality and capacity, shareholding, shareholder rights, duties and obligations, and company management, rights, duties and obligations.

Insolvency law covers insolvency of companies, indidividuals, partnerships. It also covers management of insolvency matters including voluntary insolvency mechanisms, administration, liquidation and insolvency practitioners.

The course offers understanding and practical knowledge of the above three components. At the end of the course, the student understands; what comprises of commercial law, what comprises of commercial activities, commercial instruments and the complexities related to application of commercial law and commercial instruments and the student is equipped with skills to understand legal issues in a commercial law dispute and how to resolve it or provide legal advice or opinion on it. Further, the student understands what comprises of company law, the different types of companies, shareholding, rights, duties and obligations of both shareholders and stakeholders. The student is also able to identify legal issues relating to a company law disupte and to handle it.

Lastly, the student is equipped with an undestanding of insolvency law principles, precdeures and mechanisms and skills to be able to determine whether a company or individual is insolvent, whether insolvency proceedings should be commenced, etc and to advise on or handle such issues.
